Terms of Service
These Terms of Service ("Terms") govern your access to and use of replyt, a product operated by 株式会社 VLC International ("VLC International", "we", "us").
1. Acceptance
By creating an account or using replyt, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
2. The service
replyt provides AI-assisted email briefing and draft preparation for connected Gmail and/or Outlook accounts. You remain solely responsible for reviewing and approving any communication before it is sent.
Features, limits, and plan capabilities may change as we improve the product. We may modify, suspend, or discontinue features with reasonable notice when practicable.
3. Accounts and provider access
You sign in with Google or Microsoft (and operators may use email/password where enabled). You must keep your credentials and connected accounts secure and may revoke replyt's access at any time.
You represent that you have authority to connect the mailboxes and calendars you authorize, and that your use complies with your employer's and providers' policies.
4. Plans and billing
- Paid plans are billed on a subscription basis at the price shown at checkout (Pay.jp, JPY).
- Company arrangements may be scoped separately via a custom agreement.
- Fees are non-refundable except where required by law or expressly stated otherwise.
- Failure to pay may result in downgrade, suspension, or termination of paid features.
5. Acceptable use
You agree not to use replyt to:
- Violate applicable laws or third-party rights.
- Send spam, deceptive, harassing, or harmful communications.
- Attempt unauthorized access to systems, accounts, or data.
- Probe, scan, or disrupt the service, or reverse engineer it except as allowed by mandatory law.
- Circumvent plan limits, security controls, or access restrictions.
6. AI-generated content and human approval
Suggested drafts and classifications may be inaccurate, incomplete, biased, or inappropriate. replyt does not guarantee any particular outcome.
You must review all outputs before approval. You are solely responsible for the final content of any message you send and for any decisions you make based on briefings or suggestions.
7. Intellectual property
replyt, including its branding, software, and design, is owned by VLC International or its licensors. You retain ownership of your email content and account data. You grant us a limited license to process that content solely to provide and improve the service for you.
8. Third-party services
replyt depends on third parties (including Google, Microsoft, hosting providers, AI model providers, and Pay.jp). Their availability, policies, and performance are outside our full control. Interruptions or changes by those parties may affect replyt.
9. Disclaimer of warranties
To the fullest extent permitted by law, the service is provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free or secure operation.
We do not warrant that the service will prevent all unauthorized access, data loss, or disclosure, or that AI outputs will be correct.
10. Limitation of liability
To the maximum extent permitted by law, VLC International and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to your use of replyt—even if advised of the possibility of such damages.
Without limiting the above, and to the extent liability cannot be fully excluded, our aggregate liability for all claims relating to the service in any twelve-month period shall not exceed the greater of (a) the amounts you paid us for replyt in that period, or (b) JPY 10,000.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum extent permitted by mandatory law. Nothing in these Terms excludes liability that cannot be excluded under Japanese law (including liability for willful misconduct or gross negligence where such exclusion is prohibited).
11. Indemnity
To the extent permitted by law, you agree to defend and indemnify VLC International against claims, damages, and expenses arising from your misuse of the service, your messages, or your violation of these Terms or third-party rights—except to the extent caused by our willful misconduct or gross negligence.
12. Suspension and termination
You may stop using replyt at any time. We may suspend or terminate access if you violate these Terms, create risk for the service or others, or if required by law or a provider.
Upon termination, your right to use the service ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
13. Changes
We may update these Terms periodically. Material changes will be posted on this page with an updated date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where mandatory law requires otherwise.
14. Governing law and disputes
These Terms are governed by the laws of Japan. Courts in Tokyo, Japan shall have exclusive jurisdiction as the court of first instance, unless mandatory consumer protections provide otherwise.
